What businesses in Michigan are required to file an annual report with the Secretary of State?
In Michigan, all businesses, with the exception of Limited Partnerships and Limited Liability Partnerships, are mandated to file an annual report with the Secretary of State. This includes corporations, LLCs, domestic and foreign non-profit corporations, professional corporations, and charities. The annual report can be filed online, mailed, or personally delivered. The Michigan Department of Licensing and Regulatory Affairs (LARA) - Corporations Division is responsible for receiving these forms. The deadlines and filing fees vary depending on the type of business. For instance, corporations and professional corporations must file by May 15 with a fee of $25, while LLCs have a deadline of February 15 with the same fee. Domestic and foreign non-profit corporations are required to file by October 1 with a fee of $20. Charities, on the other hand, have a deadline of 7 months following the fiscal year end and are not required to pay a fee. Foreign non-profit organizations wishing to conduct business in Michigan must obtain a Certificate of Authority from the Michigan Department of Licensing and Regulatory Affairs, Corporation Division. They are also required to submit an annual report. The process of filing the annual report can be done online up to 90 days prior to the due date.
